RENTAL TERMS AND CONDITIONS OF SUPPLY

1. Agreement

The Supplier (“Owner”) agrees to rent to the Customer (“Renter”) and the Renter agrees to rent from the Owner under the following terms and conditions:

• The Owner has acquired or will acquire the Equipment at the request of the Renter.
• The Renter has no right or interest in the Equipment except as a bailee.
• The Renter must take delivery of the Equipment and keep it at the site address, unless otherwise agreed.
• Rental payments, maintenance, repair, insurance, and possession of the Equipment are essential terms of this Agreement.
• The Renter has satisfied itself regarding the condition and suitability of the Equipment.

2. Rental Payments

The Renter agrees to pay the Owner:

• Rental payments at the agreed rate without withholding or deductions.
• Interest on overdue accounts and expenses for any failure to comply with the Agreement.
• Repair costs for any damage beyond fair wear and tear.

3. Maintenance

The Renter agrees to:

• Keep the Equipment in good order and condition.
• Arrange regular servicing of the Equipment by the Owner.
• Ensure the Equipment is operated only by trained personnel.
• Insure the Equipment against fire, accident, and theft.

4. Prohibitions

The Renter will not:

• Alter, sell, or dispose of the Equipment without prior written consent.
• Use or install the Equipment in a way that could cause it to become a fixture to land.

5. Event of Default

An Event of Default occurs if:

• The Renter fails to pay rental payments or breaches any terms of this Agreement.
• The Renter becomes insolvent or unable to pay its debts.

6. Remedies

If the Renter breaches an essential term, the Owner may:

• Enforce the Agreement or accept its repudiation.
• Require the Renter to return the Equipment and pay for any losses or damages.

7. Miscellaneous

This Agreement:

• Is binding upon the successors and assigns of the Renter and Owner.
• May be varied if agreed upon by both parties.
• Will be governed by the laws of the relevant state or territory.

8. Security Interest

This Agreement creates a security interest in the Equipment under the Personal Property Securities Act 2009 (Cth).

9. Responsibilities of the Renter

The Renter is responsible for:

• Insuring the Equipment while on hire.
• Paying rental charges until the Equipment is returned in pre-rent condition.
• Daily checks and ensuring operators are qualified.
